PbPilot Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PbPilot software platform ("PbPilot," "Software," or "Platform"), operated by PbPilot ("Company," "we," "us," or "our"). By creating an account, accessing, or using PbPilot, you ("User," "Inspector," or "you") agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "User" shall refer to that entity.

1. Purpose and Intended Use

PbPilot is a productivity and workflow assistance tool designed to help licensed and qualified inspectors collect, organize, and generate reports related to lead-based paint hazards. The Platform is intended solely as a tool to streamline the report-creation process and is not a substitute for professional judgment, training, or regulatory expertise.

a. What PbPilot Does

  • Assists with data entry, organization, and report generation

  • Automates formatting and compilation of inspection data into structured reports

  • Facilitates the import, matching, and organization of laboratory results

  • Produces reports based solely on information entered, reviewed, edited, and approved by the User

  • Provides workflow management tools including scheduling, assignment tracking, and status monitoring

b. What PbPilot Does Not Do

  • Perform inspections or site assessments of any kind

  • Make professional judgments, interpretations, or determinations

  • Determine compliance or non-compliance with any federal, state, or local regulation

  • Interpret laws, regulations, guidelines, or professional standards

  • Render conclusions, recommendations, findings, or opinions

  • Guarantee that any report generated will satisfy the requirements of any particular jurisdiction, agency, or regulatory body

  • Supersede or replace applicable laws, regulations, licensing requirements, or professional standards

2. No Professional Judgment or Regulatory Determinations

PbPilot does not provide professional, legal, environmental, health, safety, or regulatory advice. The Platform is a data-management and report-assembly tool only.

All inspections, findings, determinations, conclusions, and representations contained in any report generated using PbPilot are solely those of the User. The User acknowledges and agrees that:

  • Lead-based paint inspection and risk assessment reports are highly regulated legal documents that carry significant legal, financial, and public-health consequences

  • Such reports may be relied upon by government agencies, property owners, tenants, lenders, insurers, courts, and other third parties

  • The accuracy, completeness, regulatory compliance, and legal sufficiency of any report generated using the Platform rests entirely and exclusively with the User

  • PbPilot has no obligation or ability to verify the accuracy or completeness of any data entered by the User or any report generated through the Platform

3. User Control and Responsibility

PbPilot is designed to provide the User with full control over all aspects of the report-generation process. The Platform allows Users to:

  • Review all data and content prior to report generation

  • Add, remove, edit, or modify any content at any stage of the workflow

  • Override any auto-populated, suggested, or pre-filled fields

  • Control formatting, layout, and final output

  • Review and approve the final report before submission or distribution

Because the User maintains full and exclusive control over the report before finalization, the User assumes all responsibility and liability for:

  • The accuracy and correctness of all data and information in the report

  • The completeness of the report, including all required components, sections, and disclosures

  • Compliance with all applicable federal, state, and local regulations, including but not limited to HUD guidelines, EPA requirements, and state-specific rules

  • Formatting, content, conclusions, and any representations made in the report

  • Any errors, omissions, misstatements, or inaccuracies, whether or not resulting from auto-populated data, suggested content, or platform-generated fields

4. Assumption of Liability

To the maximum extent permitted by applicable law:

The User assumes full and exclusive liability for any report generated using PbPilot, including but not limited to liability arising from:

  • Errors, omissions, or inaccuracies in report content

  • Regulatory non-compliance, whether federal, state, or local

  • Enforcement actions, citations, or orders issued by any government authority

  • Civil liability, including claims brought by property owners, tenants, or third parties

  • Administrative penalties, fines, or sanctions

  • Professional discipline, license suspension, or license revocation

  • Personal injury or property damage claims arising from reliance on reports generated using the Platform

PbPilot shall not be liable for any incorrect, incomplete, non-compliant, or misleading report, regardless of whether such report was generated in whole or in part using the Software, and regardless of whether any error was caused by or related to any feature, function, or output of the Software.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

The Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

  • Merchantability

  • Fitness for a particular purpose

  • Accuracy, reliability, or completeness of any output

  • Compliance with any federal, state, or local regulatory requirement

  • Error-free, uninterrupted, or secure operation

  • Suitability for government submission or regulatory filing

  • Non-infringement

No oral or written information or advice given by the Company or its representatives shall create a warranty not expressly stated in these Terms.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PBPILOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages of any kind

  • Regulatory fines, penalties, sanctions, or enforcement costs

  • Professional discipline, license suspension, revocation, or related impacts

  • Losses, damages, or claims arising from any third party's reliance on any report generated using the Platform

  • Lost profits, lost revenue, loss of data, or business interruption

  • Any damages arising from the User's inability to use the Platform or from any interruption, suspension, or termination of access

IN ANY EVENT, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE PLATFORM SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT PAID BY THE USER TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE THOUSAND DOLLARS ($1,000).

The limitations set forth in this Section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Company has been advised of the possibility of such damages.

7. Indemnification

The User agrees to defend, indemnify, and hold harmless PbPilot and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Any report generated by the User using the Platform

  • The User's inspection activities, practices, or professional conduct

  • Any regulatory enforcement action, investigation, or proceeding related to the User's work

  • Any third party's reliance on any report or data produced by the User through the Platform

  • The User's breach of these Terms or violation of any applicable law or regulation

  • Any claim that the User's use of the Platform infringed the rights of a third party

8. Account Terms and Subscription

a. Account Registration

  • To access the Platform, you must create an account and provide accurate, complete, and current information.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to notify PbPilot immediately of any unauthorized use of your account.

b. Subscription and Payment

  • Access to PbPilot is provided on a subscription basis.

  • Fees, billing cycles, and payment terms are as set forth at the time of purchase or as separately agreed upon in writing.

  • All fees are non-refundable except as expressly stated otherwise.

  • The Company reserves the right to modify pricing with thirty (30) days' prior written notice.

c. Termination

  • Either party may terminate the User's account at any time.

  • The Company may suspend or terminate access immediately for breach of these Terms, non-payment, or conduct that the Company reasonably determines is harmful to the Platform, other users, or the Company.

  • Upon termination, the User's right to access the Platform ceases immediately, though data export provisions (described in the Privacy Policy) shall apply.

9. Intellectual Property

  • All rights, title, and interest in and to the Platform, including all software, algorithms, interfaces, documentation, trademarks, and other intellectual property, are and shall remain the exclusive property of PbPilot. These Terms grant the User a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose during the term of the User's active subscription.

  • The User retains all ownership rights to the inspection data entered into and the reports generated through the Platform. However, the User grants PbPilot a non-exclusive, royalty-free license to use aggregated and anonymized data derived from platform usage for the purposes described in the Privacy Policy, including platform improvement, product development, and industry analytics.

10. Changes to the Software and Terms

  • The Company reserves the right to modify, update, enhance, or discontinue any feature or functionality of the Platform at any time, with or without notice. No guarantee is made that the Software will meet current or evolving regulatory requirements in any jurisdiction.

  • The Company may revise these Terms at any time by posting updated Terms on the Platform. Material changes will be communicated via email or in-platform notification at least thirty (30) days before taking effect. Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the updated Terms.

11. Dispute Resolution

  • Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days.

  • If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration conducted in the State of Ohio.

  • Each party shall bear its own costs and attorneys' fees in connection with any arbitration, unless the arbitrator determines that the circumstances warrant a different allocation. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. To the extent any matter is not subject to arbitration under Section XI, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Ohio.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription agreement or order form, constitute the entire agreement between the User and PbPilot with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
